VISTO el Expediente N° S04:0033974/2015 del registro del MINISTERIO DE JUSTICIA Y DERECHOS HUMANOS, la Ley Nº 26.951 y su reglamentación aprobada por el Decreto Nº 2501 del 17 de diciembre de 2014, y CONSIDERANDO: Que entre las atribuciones asignadas a esta Dirección Nacional se encuentra la de dictar las normas reglamentarias que se deben observar en el desarrollo de las actividades comprendidas por la Ley N° 26.951 y el Decreto N° 2501/14. Que por Ley N° 26.951 se crea, en el ámbito de la DIRECCION NACIONAL DE PROTECCION DE DATOS PERSONALES, el REGISTRO NACIONAL “NO LLAME” con el objeto de proteger a los titulares o usuarios autorizados de los servicios de telefonía, en cualquiera de sus modalidades, de los abusos del procedimiento de contacto, publicidad, oferta, venta y regalo de bienes o servicios no solicitados. Que el artículo 10 de la mencionada ley establece que el titular o usuario autorizado del servicio de telefonía en cualquiera de sus modalidades podrá realizar la denuncia por incumplimiento a dicha norma ante la autoridad de aplicación. Que el artículo 11 de la misma norma legal dispone que la autoridad de aplicación iniciará actuaciones administrativas en caso de presuntas infracciones a las disposiciones de la Ley N° 26.951, siendo pasibles, en su caso, de las sanciones previstas en la Ley N° 25.326. Que el artículo 10 del Decreto Nº 2501/14, reglamentario de la Ley N° 26.951, determina los datos que el denunciante deberá comunicar a la autoridad de aplicación, por los medios que esta establezca, para interponer denuncias frente a incumplimientos de la mencionada ley, sus normas reglamentarias y complementarias. Que, por su parte, el artículo 11 del decreto antes citado señala que el procedimiento, excepto en lo relativo a los requisitos necesarios para interponer la denuncia, continuará según el procedimiento previsto para las denuncias por incumplimiento del Capítulo VI, artículo 31, apartado 3 de la reglamentación de la Ley N° 25.326, aprobada por el Decreto N° 1558 del 29 de noviembre de 2001, según texto sustituido por Decreto N° 1160 del 11 de agosto de 2010. Que la misma norma reglamentaria dispone que, en el desarrollo de dicho procedimiento, los sujetos obligados por el artículo 7° de la Ley N° 26.951 deberán brindar el registro de sus llamadas salientes provisto por la empresa prestadora del servicio de telecomunicaciones de la que fueran usuarios, debiendo la autoridad de aplicación tener en cuenta, a los fines probatorios, aquellos elementos de hecho e indicios de carácter objetivo aportados por el denunciante que sustenten la situación fáctica debatida, quedando a cargo del denunciado acreditar que ha dado cumplimiento con las obligaciones establecidas en la Ley N° 26.951 y el propio Decreto N° 2501/14. Que el artículo 31, apartado 3, punto c) de la reglamentación de la Ley N° 25.326, aprobada por el Decreto N° 1556/01, según texto sustituido por Decreto N° 1160/10, prevé que la DIRECCIÓN NACIONAL DE PROTECCIÓN DE DATOS PERSONALES podrá habilitar un sistema telemático para facilitar la interposición de denuncias. Que, en consecuencia, a los fines de simplificar y optimizar el procedimiento para la interposición de denuncias por incumplimientos a la Ley N° 26.951, este órgano de control, teniendo en consideración que el REGISTRO NACIONAL “NO LLAME” tiene aplicación en todo el territorio nacional, de conformidad con lo establecido en el artículo 12 de la Ley Nº 26.951, considera pertinente implementar el sistema de denuncias a través de dos canales: la página web:http://www.nollame.gob.ar/ y los números telefónicos 146 y 0800-444-3360. Que, por otro lado, la implementación del sistema informático hace necesaria la adopción de un esquema procedimental que posibilite el adecuado cumplimiento de los criterios de eficacia y eficiencia necesarios para el logro de los objetivos propuestos dentro de los parámetros exigidos por el marco legal que lo sustenta. Que el servicio permanente de asesoramiento jurídico de este Ministerio ha tomado la intervención que le compete. Que la presente medida se dicta en uso de las facultades conferidas en el artículo 9° de la Ley N° 26.951 y los artículos 10 y 11 del Anexo I al Decreto N° 2501/14. Por ello,
EL DIRECTOR NACIONAL DE PROTECCIÓN DE DATOS PERSONALES DISPONE:
Artículo 1° — Los titulares o usuarios de servicios de telefonía en cualquiera de sus modalidades podrán interponer denuncias por incumplimientos a la Ley N° 26.951, normas reglamentarias y complementarias a través del sitio web del REGISTRO NACIONAL “NO LLAME”, ingresando a http://www.nollame.gob.ar/ y, de acuerdo con el procedimiento para “RECEPCION DE DENUNCIAS POR INCUMPLIMIENTOS A LA LEY N° 26.951 A TRAVES DEL SITIO WEB HTTP//www.nollame.gob.ar” que se aprueba como Anexo I y forma parte integrante del presente artículo.
Art. 2° — Los titulares o usuarios de servicios de telefonía en cualquiera de sus modalidades también podrán efectuar denuncias por incumplimientos a la Ley N° 26.951, normas reglamentarías y complementarias a través de los números telefónicos 146 y0800-444-3360. Dicho llamado deberá efectuarse exclusivamente desde la línea telefónica debidamente inscripta ante el REGISTRO NACIONAL “NO LLAME”, a fin de verificar la procedencia de la llamada, debiendo el interesado seguir las indicaciones que el sistema automático le indique a fin de contactarse con un operador que registrará su denuncia.
Art. 3° — Las denuncias ingresadas a través del sitio web http://nollame.gob.ar/, como a través de los números telefónicos 146 y 0800-444-3360, pasarán a formar parte del “SISTEMA DE GESTION DE DENUNCIAS”, que se aprueba como Anexo II y forma parte integrante del presente artículo, al que sólo podrán acceder los funcionarios autorizados a través de un mecanismo de identificación y autenticación de usuario.
Art. 4° — Comuníquese, publíquese, dése a la Dirección Nacional del Registro Oficial y archívese. — Juan Cruz Gonzalez Allonca.
ANEXO I PROCEDIMIENTO PARA RECEPCION DE DENUNCIAS PPOR INCUMPLIMIENTOS A LA LEY N° 26.951 A TRAVES DEL SITIO WEB HTTP//www.nollame.gob.ar ADMISIBILIDAD: 1. La denuncia solo será admitida si la línea telefónica del denunciante se encuentra inscripta en el REGISTRO NACIONAL “NO LLAME” y transcurrieron, desde la confirmación de su inscripción, TREINTA (30) días corridos. Caso contrario el sistema emitirá el siguiente aviso “NO ES POSIBLE REGISTRAR SU DENUNCIA, A LA FECHA INFORMADA EL NUMERO TELEFONICO NO SE ENCONTRABA INSCRIPTO O BIEN NO HAN TRANSCURRIDO 30 DIAS CORRIDOS DESDE LA INSCRIPCION”. 2. Si la línea telefónica del denunciante se encuentra debidamente inscripta, el sistema pasará a una nueva pantalla, en la que el denunciante deberá aportar los datos exigidos por el artículo 10 del decreto N° 2501/14 y un correo electrónico válido. Cumplimentados todos los datos obligatorios, el sistema emitirá el siguiente aviso “DENUNCIA EXITOSA”. A esos fines se remitirá un e-mail al denunciante para que confirme su denuncia. 3. Efectuada la confirmación por el denunciante, se le remitirá un nuevo e-mail donde se informa el número de registro asignado a su denuncia.
ANEXO II SISTEMA DE GESTION DE DENUNCIAS FINALIDAD El SITEMA DE GESTIÓN DE DENUNCIAS tiene por finalidad determinar el trámite a ser asignado en cada caso y conformar las planillas con el detalle de las denuncias recibidas que se adjuntarán a las respectivas intimaciones. a) DESESTIMACION: Por encontrarse el motivo de la denuncia alcanzado por alguna de las excepciones previstas en el artículo 8° de la Ley N° 26.951; por insuficiencia o inconsistencia de los datos aportados; por no encontrarse alcanzada la denuncia por el objeto de la Ley N° 26.951. b) APERTURA DE ACTUACIONES ADMINISTRATIVAS: Seguirán el procedimiento vigente establecido en el artículo 31, apartado 3 de la reglamentación de la Ley N° 25.326, aprobada por el Decreto N° 1558 del 29 de noviembre de 2001, según texto sustituido por su similar N° 1160 del 11 de agosto de 2010. Junto con la intimación a cada denunciado, se acompañará una planilla con el detalle de las denuncias recibidas, que estará conformado con los datos ingresados al “SISTEMA DE GESTION DE DENUNCIAS”, el que estará certificado por un funcionario competente.

The FIFA-Related Action Is Not An FCPA Enforcement Action – But Could Potentially Lead To Exposure For Certain Companies
Unless you were on another planet last week, you know that the U.S. Department of Justice announced a wide-ranging criminal action against nine FIFA officials and five corporate executives. (See here for the various criminal informations and the 164-page criminal indictment).
Perhaps because the criminal actions – largely against foreign nationals – alleged corruption the FIFA-related action was widely reported in the media as a Foreign Corrupt Practices Act enforcement action. For instance, this Washington Post sought to explain how Watergate (a historical event which in part lay the groundwork for the FCPA) explains how the U.S. can prosecute FIFA officials and implied that the FCPA was somewhat relevant to the criminal charges last week.
However, the FIFA-related action is NOT an FCPA enforcement action. Rather the individuals were charged with racketeering conspiracy, wire fraud, money laundering and certain defendants were also charged with tax evasion and obstruction of justice.
Nevertheless, the conduct alleged could potentially result in FCPA scrutiny for certain companies.
As the FCPA Guidance rightly notes: “the FCPA does not cover every type of bribe paid around the world for every purpose …”.
Indeed, the FCPA’s anti-bribery provisions only apply to bribe payors and not bribe recipients and the various FIFA officials are generally alleged to be bribe recipients. Further, for there to be a violation of the FCPA’s anti-bribery provisions a “foreign official” must be an actual or intended recipient of a payment scheme.
Under the FCPA, “foreign official”:
“means any officer or employee of a foreign government or any department, agency, or instrumentality thereof, or of a public international organization, or any person acting in an official capacity for or on behalf of any such government or department, agency, or instrumentality, or for or on behalf of any such public international organization.To see the list of public international organizations, see here and here.
The term “public international organization” means– (i) an organization that is designated by Executive Order pursuant to section 1 of the International Organizations Immunities Act (22 U.S.C. § 288); or (ii) any other international organization that is designated by the President by Executive order for the purposes of this section, effective as of the date of publication of such order in the Federal Register.
In short, FIFA officials are not “foreign officials” under the FCPA and because they are not “foreign officials” the FCPA’s anti-bribery provisions are not implicated.
Nevertheless, the conduct alleged in the FIFA-related charging documents could potentially result in FCPA scrutiny for certain companies.
Indeed, the FIFA-related charging documents refer to a multinational sportswear company headquartered in the U.S. (“Sportswear Company A”) and how this company paid the Brazilian soccer federation (“CBF”) $160 million over 10 years for the right to be one·of CBF’s co-sponsors and to be CBF’s exclusive footwear, apparel, accessories, and equipment supplier. According to the indictment, CBF remitted a percentage of the value of the payments it received under the agreement to Traffic Brazil, an intermediate entity at the core of the FIFA-related allegations.
The indictment alleges:
“Additional financial terms were not reflected in the Agreement. Sportswear Company A agreed to pay a Traffic affiliate with a Swiss bank account an additional $40 million in. base compensation on top of the $160 million it was obligated to pay to CBF pursuant to the Agreement. On July 14, 1996, three days after the Agreement was signed, a representative of Sportswear Company A and a representative of Traffic Brazil … signed a one-page letter agreement acknowledging as follows: “CBF has authorized Traffic, or its designated banking agent, to invoice [Sportswear Company A] directly for marketing fees earned upon successful negotiation and performance of the . . . [Agreement].” Between 1996 and 1999, Traffic invoiced Sportswear Company A directly for $30 million in payments.Given the above definition of “foreign official,” the CBF official is unlikely to qualify.
[Traffic Brazil] agreed to pay and did pay [a high-ranking CBF official] half of the money he made from the sponsorship deal, totaling in the millions of dollars, as a bribe and kickback.”
However, the Wall Street Journal reported that Nike is believed to be “Sportswear Company A” and Nike is an issuer subject to the FCPA’s books and records and internal controls provisions, provisions which are more generic than the anti-bribery provisions and operate independently of the anti-bribery provisions.
At the very least, the above allegations as to Nike could potentially implicate the FCPA’s books and records and internal controls provisions. Even though the alleged conduct occurred in the late 1990′s, FCPA enforcement actions are commonly based on old conduct given that cooperation – not legal principles such as statue of limitations – is often the name of the game in FCPA enforcement actions. Nevertheless, an enforcement action based on conduct that allegedly occurred 15 years ago would seem to press this common enforcement tactic to the extreme.
In response to the FIFA-related actions, Nike released as statement indicating that the company has ”been cooperating, and will continue to cooperate, with the authorities.”

Many are describing the FIFA-related actions as yet another example of extraterritorial application of U.S. law.
Before jumping to this conclusion, consider the following.
- As to the core alleged bribery scheme, three of the defendants are U.S. citizens; various of the regional soccer associations implicated have offices in the U.S.; several of the intermediate sports marketing companies have headquarters, offices or affiliates in the U.S.; and the indictment contains several allegations concerning use of U.S.-based bank accounts, phone calls from the U.S.; and in-person meetings in the U.S. in furtherance of the alleged bribery scheme.
